1. About These Terms

These Terms of Service ("Terms") govern your access to and use of the Y mobile application, web application, and related services (collectively, the "Service") operated by Homo SAS, a French simplified joint-stock company (SAS), registered at 145 Rue de Noisy-le-Sec, 93260 Les Lilas, France, under registration number 934 191 743 R.C.S. Bobigny ("we", "us", "our").

By creating an account or using the Service, you agree to these Terms. If you do not agree, you must not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. If you are between 13 and 16 years old, you may only use the Service with the consent of a parent or legal guardian, in accordance with applicable data protection laws in your country of residence. We reserve the right to request proof of age or parental consent at any time.

3. Account Registration

3.1 Creating an Account

You may create an account using:

  • Apple Sign-In
  • Google Sign-In
  • Email and password
  • Guest mode (limited functionality, upgradeable to a full account)

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Account Information

You agree to provide accurate and complete information when creating your account. You may choose a display name, username, bio, profile photo, and preferred language. You must not impersonate any person or entity or use a misleading username.

3.3 Account Deletion

You may delete your account at any time from within the app. Upon deletion, all your data, content, and media are permanently removed from our systems, including:

  • Profile information
  • All personal data (todos, notes, calendar events, budgets, transactions)
  • All content you created (briefs, recipes, guides)
  • Media files (photos, videos)
  • Push notification tokens
  • Table check-in history and service requests
  • Semantic memory entries associated with your data

4. The Service

4.1 Consumer Features (Free)

Y provides the following features at no cost to consumers:

  • YSpot: Discover restaurants, cafes, and other locations; view briefs and guides; browse promotional offers; place menu orders via QR codes
  • YCook: Browse and create recipes; view recipe transcriptions and analysis
  • YTodo: Create and manage task lists
  • YNote: Create and manage personal notes
  • YCal: Create and manage calendar events
  • YBudget: Track budgets and transactions across multiple currencies
  • AI Agent: Interact with an AI assistant that can help you across all modules

4.2 Business Features (Paid)

Business users (spot owners) may subscribe to paid plans via Stripe to access features including:

  • Spot management and publishing
  • Staff management with role-based permissions
  • Table management and live table tracking
  • Menu management and AI-assisted menu generation
  • Promotional offer creation and QR-based redemption
  • Order management

Business subscription tiers (Starter, Growth, Enterprise, Custom) are described on our website at https://ygrec.app. Pricing, tier limits, and features may change with reasonable notice.

4.3 AI-Powered Features

The Service uses artificial intelligence and machine learning to provide certain features, including:

  • Multi-agent AI assistant for productivity tasks
  • Recipe video transcription and analysis
  • Ingredient extraction and translation
  • Menu generation from images
  • Semantic memory that learns from your interactions to provide better assistance

AI-generated content is provided "as-is" and may contain errors. You should verify any AI output before relying on it, especially for dietary, financial, or health-related information.

5. User Content

5.1 Your Content

You retain ownership of content you create through the Service ("User Content"), including recipes, briefs, guides, notes, todos, calendar events, and budget data.

By posting public User Content (briefs, recipes, guides), you grant us a worldwide, non-exclusive, royalty-free license to host, display, distribute, and make available your content through the Service, including for AI-powered analysis and processing (such as transcription, translation, and recipe analysis).

5.2 Content Standards

You agree not to post content that:

  • Is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Infringes on intellectual property rights of any third party
  • Contains malware, spam, or deceptive material
  • Violates any applicable law or regulation

5.3 Content Moderation

Users may report content that violates these Terms. We reserve the right to review, remove, or restrict access to any User Content that we reasonably believe violates these Terms, without prior notice.

5.4 Content Processing

Certain content you create may be processed by automated systems for the purpose of providing the Service, including:

  • Recipe videos are transcribed, analyzed, and translated into multiple languages
  • User documents (todos, notes, calendar events, budgets, transactions) are synced to our semantic memory system to improve AI assistant responses
  • Menu images may be analyzed by AI to extract menu items

6. Business Terms

6.1 Subscriptions

Business subscriptions are billed through Stripe on a recurring basis. By subscribing, you authorize us to charge your payment method at the applicable subscription rate.

6.2 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

6.3 Tier Limits

Each subscription tier includes limits on the number of spots and staff members. Exceeding these limits requires upgrading to a higher tier.

6.4 Staff Management

As a spot owner, you are responsible for managing staff access and permissions within your organization. Staff members are granted access based on roles (owner, manager, staff) and configurable permissions.

7. Promotional Offers and Orders

7.1 Promotional Offers

Spot owners may create promotional offers redeemable by consumers. Offers are subject to the terms set by the spot owner (discount type, validity period, redemption limits). We are not a party to the transaction between the spot owner and the consumer.

7.2 Menu Orders

The Service facilitates menu ordering via QR codes at participating spots. We are not responsible for the quality, safety, or delivery of food or services ordered through the Service. Order tokens expire automatically after 5 minutes for security.

8. Location Services

The Service uses your device location (when authorized) to provide location-based features such as discovering nearby spots and displaying maps. Location data is processed as described in our Privacy Policy. You may disable location access at any time through your device settings, though this may limit certain features.

9. Intellectual Property

9.1 Our Rights

The Service, including its design, features, IcedMetal design system, software, and documentation, is owned by Homo SAS and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand elements.

9.2 Feedback

If you provide feedback or suggestions about the Service, you grant us an unrestricted, perpetual license to use such feedback without compensation or attribution.

10. Prohibited Conduct

You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service's infrastructure
  • Reverse-engineer, decompile, or disassemble any part of the Service
  • Use automated systems (bots, scrapers) to access the Service without authorization
  • Circumvent rate limiting or other security measures
  • Create multiple accounts to evade restrictions or bans
  • Use the Service to collect personal data of other users without consent

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

Specifically:

  • AI-generated content (recipe analysis, menu extraction, agent responses) may contain inaccuracies
  • Financial tracking features (YBudget) are for informational purposes and do not constitute financial advice
  • Recipe nutritional information is estimated and should not be relied upon for medical dietary needs
  • Location data accuracy depends on your device capabilities

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, HOMO SAS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE.

Our total aggregate liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or one hundred euros (EUR 100), whichever is greater.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

13. Indemnification

You agree to indemnify and hold harmless Homo SAS from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.

14. Modifications to the Service

We may modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes when possible. Continued use of the Service after changes constitutes acceptance of those changes.

15. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via the Service or by email. Your continued use of the Service after the effective date of revised Terms constitutes acceptance. If you do not agree to the revised Terms, you must stop using the Service and delete your account.

16. Governing Law and Disputes

These Terms are governed by the laws of France. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Paris, France, without prejudice to mandatory consumer protection rules of your country of residence that may apply under EU Regulation 593/2008 (Rome I).

If you are a consumer residing in the European Union, you may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Homo SAS regarding the Service.
